Legal Disclaimer

Welcome to Retirement Planning. Please Read the following terms and conditions carefully before going to the next screen. This is a legal agreement between you (the "Licensee") and City National Bank (the "Licensor"). Licensor is willing to license the Software (defined below) to you only upon the condition that you accept all of the terms contained in this license agreement. If you accept all of the terms contained in this license agreement, please indicate by selecting the "I ACCEPT" option below. If you select "I DECLINE", you will not be allowed access to Online Retirement Planning.
Grant of License.  Licensor hereby grants to Licensee a limited, nonexclusive, nontransferable license to the use of the object code form of the City National Online Retirement Planning software, including any related materials or documentation as may be delivered to Licensee hereunder, in the single user manner as described in this Agreement and solely for Licensee’s internal use. The term "Software" shall mean the software, accompanying materials and documentation and any data contained therein. 
Copying.  Licensee may not copy the Software except for loading the Software into the computer memory for the purpose of executing this program or for making a single back-up or archival purposes. Licensee may not incorporate or otherwise distribute the Software, in whole or part, through any commercial on-line services; service bureau, retail distribution system, including but not limited to retail software and computer chains; or any other third-party distribution system.
Proprietary Rights.  The Software is protected by applicable copyright and trademark laws of the United States and other jurisdictions. Licensee may use the Software only in the manner provided for herein. All rights not expressly granted, including translation rights, are reserved by Licensor or its direct or indirect suppliers of data and other components of the Software ("Suppliers"). Licensee may not sub-license, lease, rent, lend, or otherwise transfer or assign its rights to the Software to any third party. Licensee may not modify, decompile, reverse engineer, disassemble or create any type of derivative work from the Software. 
Warranty Disclaimer.  The data has been obtained from public sources believed to be reliable but are not necessarily accurate, timely or complete. Neither Licensor nor its Suppliers guarantee or warrant the Software or its use in terms of accuracy, timeliness, currentness, completeness, reliability or otherwise. 
    Licensee hereby acknowledges that neither the Software nor its use is intended by the Licensor or any of its Suppliers to supply advice of any type, including, without means of limitation, investment advice. Although the Software contains information, and data, regarding retirement investing and asset allocation, such information is intended to be educational in nature, and does not constitute an endorsement or recommendation by Licensor or any Supplier of any security or investment program, service or the suitability thereof for the Licensee. The Software is not intended to be a solicitation for Licensee to purchase any investment from or through Licensor or any of its Suppliers. Licensee acknowledges that the Software is not intended to supply investment, tax, accounting, financial, or legal advice, for which the Licensee should seek a personal consultation with a professional provider of such services. 
    NEITHER LICENSOR NOR ITS SUPPLIERS MAKE ANY WARRANTY, EITHER EXPRESS OR IMPLIED, REGARDING THE SOFTWARE, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR ANY PARTICULAR PURPOSE AND NON-INFRINGEMENT. LICENSOR AND ITS SUPPLIERS DO NOT WARRANT THAT THE SOFTWARE WILL MEET LICENSEE'S REQUIREMENTS OR THAT THE OPERATION OF THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE. LICENSEE RELIES ON THE SOFTWARE AND ITS RESULTS SOLELY AT LICENSEE'S OWN RISK. THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. 
    Some states do not allow the exclusion of implied warranties so the above exclusions may not apply to the Licensee. This warranty gives the Licensee specific legal rights. The Licensee may also have other rights that vary from state to state. 
Disclaimer of Consequential Damages.  NEITHER LICENSOR, NOR ANY OF ITS SUPPLIERS, NOR ANYONE ELSE INVOLVED IN THE CREATION, PRODUCTION, OR DELIVERY OF THE SOFTWARE SHALL BE LIABLE FOR ANY INCIDENTAL, SPECIAL, INDIRECT, PUNITIVE OR CONSEQUENTIAL DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF ANTICIPATED PROFITS OR BENEFITS ARISING OUT OF THE USE, RESULT OF USE, OR INABILITY TO USE, THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR CLAIM. 
    Some states do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitation or exclusion may not apply to Licensee. 
Limitation of Liability. For all claims against Licensor or Suppliers with regard to the Software, whether arising in contract, tort or strict liability, Licensor’s liability shall not exceed, in the aggregate, the amount Licensee has paid, if any, for the license granted herein. 
Termination.  If Licensee breaches any of the provisions of this Agreement, Licensee's right to use the Software shall immediately cease and Licensee shall immediately discontinue use of the Software. If any provisions of this Agreement shall be held by a court of competent jurisdiction to be illegal, invalid or unenforceable, then such provision shall be construed so as to afford Licensor and its Suppliers the maximum protection permissible by law and the remaining provisions shall remain in full force and effect.
Updates.  Licensor or its Suppliers may from time to time, update, amend, improve or otherwise change the Software. The execution of this Agreement shall not confer to Licensee any right to receive or use such updated or amended version, and Licensor and its Suppliers shall be not be obligated to provide such updated or amended version to Licensee; provided however, where Licensor does provide to Licensee any update, amendment, improvement or change, these shall be deemed to be "Software" hereunder and shall be governed by the terms of this Agreement. 
Governing Law.  This Agreement and performance hereunder will be governed by and construed in accordance with the laws of the State of California, without reference to choice of law principles. 
General.  Licensee acknowledges that its duly authorized representative has read the above Agreement, understands it and agrees, on behalf of Licensee, to be bound by its terms and conditions. The Agreement between Licensee and Licensor regarding the Software consists solely of this License Agreement. This Agreement does not include any other prior or contemporaneous promises, representations or descriptions regarding the Software, even if they are contained in materials provided by Licensor or its Suppliers. 
    Those sections of this Agreement that by their nature should survive termination or expiration of this Agreement, shall survive termination or expiration of this Agreement.
